Terms of Service

You must be at least 18 years old and able to form a binding contract to create an account. Havennai is intended for personal, household organization — not for commercial resale of the Service or its output. Children may be added as profiles within a household by their parent or guardian, but may not create or operate accounts.

You are responsible for keeping your credentials secure and for all activity under your account, and for the accuracy of the information you add. Household members you invite can see and edit shared household content — invite only people you trust. Tell us promptly at [email protected] if you believe your account has been compromised.

You agree not to:

• Access or attempt to access another household's data, or bypass authentication or access controls.
• Scrape, bulk-download, resell, or redistribute data obtained through the Service, including any data returned by a connected retailer.
• Use the Service to send spam, harass anyone, or send email to addresses you are not authorized to contact.
• Reverse engineer, interfere with, overload, or probe the Service or its providers except as permitted by law.
• Use the Service for any unlawful purpose or in violation of a third party's terms or rights.

The Service can optionally connect to third-party accounts you authorize, including grocery retailers such as Kroger, using that provider's OAuth sign-in. Connecting is always your choice and you can disconnect at any time.

• Havennai is an independent application. We are not affiliated with, sponsored by, endorsed by, or otherwise associated with any retailer whose services you connect. Retailer names, logos and trademarks are the property of their respective owners and are used only to identify the service you are connecting.
• Your use of a connected retailer's services is governed by that retailer's own terms of use and privacy policy, in addition to these Terms.
• Havennai does not sell groceries and never processes payment for them. Item availability, pricing, promotions, substitutions, taxes and fees, order fulfillment, pickup and delivery are controlled entirely by the retailer. We are not responsible for a retailer's acts, omissions, or order outcomes.
• Product matching is automated and may be imperfect. Always review your cart on the retailer's site before checking out — especially for allergen, dietary or substitution-sensitive items.

Havennai is provided as-is while in active development. Features may change. Suggestions — including meal, recipe, product, service and scheduling recommendations, parsed notes, and search results — are generated in part by automated systems and third-party web sources. They are informational only and may be inaccurate, incomplete or out of date. Always confirm medical, allergy, nutrition and safety details yourself before relying on them.

You keep ownership of everything you add to your household. You grant us a limited license to store, process and display that content solely to operate the Service for you and the members you invite, as described in our Privacy Policy.

Any paid plan's price, billing period and cancellation terms are shown at the time of purchase. Free-tier features may change or end at any time.

You may stop using Havennai and delete your data at any time. We may suspend or terminate accounts that abuse the Service, attempt to access other households' data, violate these Terms, or create legal or security risk. On termination, the rights granted to you end and we delete or de-identify your data as described in the Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure or error-free.

To the maximum extent permitted by law, Havennai will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim or US$100. Some jurisdictions do not allow these limits, in which case they apply to the fullest extent permitted.

You agree to indemnify and hold Havennai harmless from claims, losses and expenses arising out of your content, your use of the Service, or your violation of these Terms or of a third party's rights.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The state and federal courts located in California have exclusive jurisdiction over any dispute, and you consent to that venue.

We may update these Terms as the Service evolves. We will update the "Last updated" date above and, for material changes, give notice by email or in-app before they take effect. Continued use after the effective date means you accept the updated Terms.

If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. These Terms, together with the Privacy Policy, are the entire agreement between you and Havennai regarding the Service.
